By using or accessing the Services, you accept and agree to be bound by these Terms. If you do not agree with any portion of the Terms, you must immediately stop using the Services.

By using, visiting or browsing the Services (whether through a web browser or one of our mobile applications), you accept and agree to be bound by these Terms. If you create an account, register, subscribe, or otherwise access paid features, you also accept these Terms. Your use of any mobile application is further subject to any end‐user license agreement (“EULA”) associated with that application.

We may notify you of changes via email, pop-up notice, or by posting the amended Terms on the Services. It is your responsibility to review these Terms periodically.   • Unless otherwise specified, all transactions are final and non‐refundable, except as we may determine in our sole discretion.

6. PAYMENT PROCESSING

By subscribing or making purchases via the Services, you authorize us (and our third‐party payment processor) to charge your selected payment method for the applicable fees, including automatic renewal of subscriptions (unless you cancel according to our processes). You are responsible for keeping your payment information current. We may terminate or restrict auto-renewal for any reason.

7. RIGHT TO TERMINATE

We reserve the right to terminate or suspend your membership, subscription or access to the Services, or any portion thereof, at any time and without notice, in our sole discretion, for any reason or no reason.

8. HOW THE SERVICES WORK

The Services provide members and subscribers with access to digital content, streaming, and other features. We make no guarantee regarding availability, continuity of service, or compatibility with your devices. Your Internet access, device, bandwidth and other factors may affect your experience. You are responsible for all Internet connectivity and data usage charges. We may change, suspend or discontinue features of the Services at any time, for any reason.

9. YOUR ACCOUNT & PASSWORD

If you register for an account, you must choose a username and password. You are fully responsible for maintaining the confidentiality of your account credentials and for all activity within your account. You may not share your account with others. We may terminate your account if we determine there is unauthorized, fraudulent, or abusive use of the Services.

10. USER CONDUCT

When using the Services, you agree to comply with all applicable laws, and to act responsibly and respectfully. You agree you will not:

  • Upload, post, email, transmit or otherwise make available any content that is unlawful, harassing, threatening, harmful, tortious, defamatory, libelous, abusive, violent, obscene or otherwise objectionable;

  • Upload or transmit viruses, malware, or other disruptive software;
  • Interfere with or disrupt the Services or any servers or networks connected to the Services;
  • Collect or store personal information of other users without their consent;
  • Circumvent or attempt to circumvent any protection or security mechanism of the Services.

11. LIMITATION ON USE; LICENSE

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your personal, non-commercial use, consistent with these Terms. Unless explicitly permitted, you may not download, reproduce, distribute, modify, create derivative works from, display, publicly perform, or otherwise exploit any portion of the content or Services. Any rights not expressly granted to you are reserved by us.

12. INTELLECTUAL PROPERTY & CONTENT

All content, features, software, logos, trademarks, designs, and other materials provided in connection with the Services are owned or licensed by us, our affiliates or our licensors. You must not remove or alter any copyright, trademark or other proprietary notices. You agree not to use our trademarks or those of our affiliates without our prior written permission.

13. DISCLAIMER OF WARRANTIES

THE SERVICES, CONTENT AND SOFTWARE (AND ALL FEATURES ACCESSIBLE THROUGH THE SERVICES) ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE AND OUR AFFILIATES AND LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER WE NOR OUR AFFILIATES, LICENSORS, OR SERVICE PROVIDERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, CONTENT OR SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM (OR, IF NO PAYMENT, ONE HUNDRED DOLLARS ($100) OR THE MINIMUM PERMITTED BY LAW).

15. INDEMNIFICATION

You agree to indemnify and hold harmless PrepSpin, our officers, directors, employees, affiliates, licensors and service providers from any claims, liabilities, damages, losses or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your infringement of any rights of another.

16. GOVERNING LAW & JURISDICTION

  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights or obligations at any time.
  • Relationship: Nothing in these Terms creates any agency, partnership, joint venture or employment relationship between you and us.
